Terms of Service

1. Agreement and eligibility
These Terms govern your use of the UAmbassador website and apps (the "Service"), operated by OK Factory ("we", "us"). By creating an account or using the Service you accept these Terms and our Privacy Policy. You must be at least 18 and, where you act for a business, authorised to do so. If you do not agree, do not use the Service.
2. The Ambassador Programme
UAmbassador lets approved participants refer businesses into the Faktorist trade ecosystem and earn cash commissions and $FTR loyalty rewards for genuine, verified activity. Participation may require approval, and we may set, change, or end programme rules, reward actions, and campaigns at our discretion.
3. Your account and verification
You must provide accurate, current information and keep your credentials secure; you are responsible for activity under your account. You may hold one account unless we agree otherwise. Before certain rewards or payouts you may be required to complete identity, KYC/AML, and sanctions checks, and we may withhold rewards or payouts until these are completed and passed.
4. Acceptable use
You must not submit false, fraudulent, spammy, or self-referrals; create fake or duplicate accounts or businesses; misrepresent Faktorist, UAmbassador, or $FTR; scrape, disrupt, or misuse the Service; or breach applicable law. Prohibited activity forfeits affected rewards, and we may reverse (claw back), suspend, or terminate accounts and any rewards obtained in breach.
5. Rewards, commissions, and taxes
Rewards are earned only on genuine, verified, qualifying activity as defined by the programme; a referral typically qualifies when the referred business completes required verification and/or reaches a defined marketplace milestone. Commission rates, $FTR amounts, qualification rules, thresholds, and timing are set by the programme and may change on a forward-looking basis. Cash payouts are subject to KYC/AML checks, minimum thresholds, and available payout methods. You are responsible for any taxes due on rewards or payouts you receive.
6. $FTR loyalty rewards
$FTR are loyalty and utility rewards — not an investment, security, e-money, or deposit. We make no promise that $FTR has or will hold any monetary value, and nothing in the Service is financial, investment, legal, or tax advice. $FTR is earned for activity and is never bought, sold, traded, or converted to fiat within the Service. Availability, earning, and redemption of $FTR depend on your jurisdiction and may be restricted or unavailable. Blockchain transactions are irreversible, and you are responsible for understanding these risks.
7. Custodial wallet
To deliver $FTR we provision and custody a blockchain wallet for you and pay network fees for grants and claims. We are not a bank, exchange, money transmitter, or custodian of any fiat or investment asset, and the Service does not offer buying, selling, trading, or exchange of crypto assets. 8. Intellectual property
The Service, and the UAmbassador and Faktorist names and marks, are owned by us or our licensors. We grant you a limited, revocable, non-transferable licence to use the Service to take part in the programme. You keep the rights in content you submit and grant us the licence needed to operate the programme.
9. Suspension and termination
You may stop using the Service and delete your account at any time (Profile → Delete account, or uambassador.com/data-deletion). We may suspend or terminate access, and withhold or claw back rewards, for breach of these Terms, suspected fraud, or legal or risk reasons. Provisions that by their nature should survive — including rewards clawback, intellectual property, disclaimers, limitation of liability, and governing law — survive termination.
10. Disclaimers and liability
The Service is provided "as is" and "as available" without warranties of any kind to the fullest extent permitted by law. We do not warrant uninterrupted or error-free operation, any reward value, or any specific outcome. To the fullest extent permitted by law, we are not liable for indirect, incidental, special, or consequential losses, or for lost profits, rewards, or $FTR value; and our total liability is limited to the amounts we paid you in the 12 months before the event giving rise to the claim. You agree to indemnify us against claims arising from your breach of these Terms or misuse of the Service.
11. Governing law and changes
These Terms are governed by the laws of the operator's jurisdiction (to be confirmed) and disputes are subject to its courts, without prejudice to mandatory consumer protections in your country of residence. We may update these Terms; we will post the new version and update the date above, and continued use after changes take effect constitutes acceptance. Questions: legal@uambassador.com.
